The Website and App (together referred to as "Ezee Dairy Platform" or "Platform") are owned and operated by Keshavam Krati Services Pvt. Ltd., whose registered office is located at 355, Vikas Nagar, Sales Tax Office Road, Kanpur (208024).

For the purpose of these terms of use ("Terms of Use"), "We", "Us", "Our" and "Ezeedairy" means Keshavam Krati Services Pvt. Ltd. And "You", "Your" or "User" means any person who accesses or uses the Website or Our Services. Our "Services", provided through the website, include:.

Providing a proprietary automated technology platform that allows you to manage your dairy with respect to ("wrt") milk collection, milk distribution, delivery tracking, inventory management, finance management and dairy customer management; and Providing a platform to assist you in selling and purchasing cattle for your dairy farm,Providing a platform to assist you in hiring dairy farm labours. Providing a platform to the dairy customers to keep track of their dairy orders and expenses pertaining to it.

By accessing or using this Platform, You agree to be bound by these Terms or Use and our other policies made available to the Platform, including but not limited to the Privacy Policy ("Policies"). Please read the Terms of Use and Our other Policies before doing so. If You do not agree to these Terms of use or any of Our Policies, please do not use or access the Platform.

Your acceptance of these Terms of Use implies that You have the capacity to enter into a legally binding contract as per applicable law, in particular the Indian Contract Act, 1982.

Our Services are designed to be compliant with the laws of India. If You access Our Services from locations outside India, You do so at Your own risk and You are solely liable for compliance with applicable local laws.

We reserve the right to amend all or any of the Terms of Use at Our sole discretion without any prior notice. Your continued use of the Platform or the Services following any such amendment indicates Your acceptance of such amendment.

We reserve the right to restrict access to Our Platform and all of the Services provided therein, if You have been or We have reasonable grounds to believe that You have been convicted of an offence which involves moral turpitude or any offence under the Indian Penal Code, 1860.

You may delete Your Ezee Dairy Account and discontinue the use of Our Services at any time in accordance with Paragraph 23. Similarly, We will have the right to withdraw Our Services at any time without assigning any reason whatsoever.

OUR SERVICES

In order to use the Platform and Our Services, You are required to register your Ezee Dairy Account ("Account") by providing the following details:

• Email Address;
• Phone no;
• Dairy Address;
• Dairy Phone no;

Other dairy information including employee & customer details You will ensure that the Information provided by You is accurate, true and up to date at all times.

Upon successful creation of the Account, You will use the Email Address/phone no and Password to access the Platform. User Accounts are personal, confidential and non-transferable. You will be responsible for all the information and content posted under Your Account. You will create only one Account for one dairy.

You shall be solely responsible for the confidentiality of the Email Address/phone no and Password used by You to access the Platform and Our Services and shall not disclose the same to anybody and shall take all possible care to prevent discovery of the Email Address/phone no and Password combination by any person. In any event, We are not liable or responsible for any unauthorized access to Your Account. You will immediately notify Us of any unauthorized use of Your Account or any other breach of these Terms of Use or security known to You.

Our proprietary technology platform is solely to provide you a complete dairy management solution wherein the information provided by you would be entirely for the sake of your benefit and ease of dairy management and a part of your personal information would be shared with other Users only upon your approval for your own benefit. The misuse of such personal information shared upon your approval will not be a responsibility of Ezee Dairy.

Upon accessing the Platform, You will need to enter the information of your dairy viz cattle, employees, customers, inventory stock etc. which will not be disclosed to anybody and will entirely be only for the management of Your dairy.

Our play store app "Ezeedairy" is meant to be handled by only You and Your dairy supervisor if You intend him to use it

Our play store app "Ezeedairy Milk" is meant to be handled by Your dairy employees to manage milk collection and delivery details and no other information is shared with them about the dairy on "Ezeedairy Milk" app.

Our play store app "Ezeedairy+" is meant to be used by Your customers to track their dairy product deliveries, orders and their expenses & balances with You.

Our services use the geo-location of the users using the GPS of the android mobiles used by the users to track the dairy product Deliveries and to share the location of the product delivery only with You and the relevant customer and will not be shared with any other third party.

Some of Your personal and dairy information is shared with others when you choose to select Our cattle sale module to sell your cattle.

We generate reports and process the information based on the inputs from Your end those reports are generated solely for Your internal purposes.

We are not responsible for any financial or personal loss that my occur due to any mis-happening while using Our Platform and You may choose Our services at your own discretion.

FEES AND CHARGES

We reserve the right to charge the fees in the future for all or part of the Services offered by Us through Our Platform. Any such changes will be communicated to You by email 7 (seven) days or before that and will be displayed on the Platform. Your continuous usage of Our Service even after the introduction of the fees shall be treated as Your acceptance to pay Us the applicable fees.

USER OBLIGATIONS

Our services are to be used only for their intended purpose, and are not to be misused in any manner, including for undertaking fraudulent impersonation etc.

You shall use the Platform only for its intended purposes in a bona fide manner. You shall not:

Use the Services for any purpose that is unlawful or prohibited by the Terms of Use; Attempt to or gain unauthorized access to any portion or feature of the Platform including accounts, or any other systems or networks connected to the Platform or to any server, computer, network, or to any of the Services by hacking, password "mining" or any other illegitimate means; Directly or indirectly solicit the account information of other users or access or try to access any account which does not belong to You; Prove, scan or test the vulnerability of the Platform Services or breach the security or authentication measures on the Platform or any network connected to the Platform; Extract data from the Platform; Attempt to circumvent the regular operation of the Platform, or reduce the fees or consideration that We may derive from the Platform by any means including by creating multiple accounts, redirecting traffic or following other fraudulent or deceptive practices; Collect any user information through automated means, including but not limited to bots, robots, spiders and scraper without Our prior written permission; Facilitate or encourage any violation of these Terms of Use or Our other Policies, including the Privacy Policy, as amended from time to time; or Make any statement(s) or comment(s) on the Platform which is/are inaccurate, false, unfair or defamatory to Us or other users or which violates the legal right of others. Further, You agree not to upload, host, display, publish, share or otherwise make available on the Platform any content or information that;

Belongs to another person and to which You do not have any right to; Contains any content which is non-compliant with the Information Technology Act,2000, rules, regulations, and guidelines made thereunder, including Rule 3 of the Information Technology (Intermediaries Guidelines) Rules, 2011, Terms of Use of Privacy Policy, as amended or re-enacted from time to time; or

Infringes any intellectual property rights of any third party. You agree to be fair, accurate and non-disparaging while leaving comments, feedback, testimonials and reviews on or about the Platform or the Services.

INTELLECTUAL PROPERTY

If at any time, You make any submissions via or on the Platform, including but not limited to suggestions, feature ideas, bug reports, comments, You assign all rights in these submission to Us. Hereafter, We shall be entitles to use the submissions for any purpose whatsoever, without compensation for any purpose whatsoever, without compensation to the maker of the submission. In the any event, such submissions are not and will not be treated as confidential and We shall not be liable for any disclosure for the submissions.

All intellectual property in the Platform, and in the proprietary material, content and information made available on the Platform including the graphics, images, photographs, logos, trademarks, the appearance, organization and layout of the Platform and the underlying software code belong to Us.

You must not copy, modify, alter, decompile, reverse engineer, publish, broadcast, distribute, sell or transfer (whether in whole or in part) any such material, except as expressly permitted in these Terms of Use. The information provided on the Platform and through the Services is for Your personal use only.

BREACH OF TERMS OF USE

If You have, or We have reasonable grounds to believe that You have violated these terms of use, or that You use conflicts or interferes with Our reputation, interest or might subject Us to unfavorable legal or regulatory action in any way, We can indefinitely suspend or terminate Your access to the Platform at any time, and report such action to relevant authorities. We reserve the right to take recourse to all available remedies under applicable law in furtherance of the above.

INDEMNITY

You agree to indemnify Us, Our owner, licensees, affiliates, group companies and their respective officers, directors, agents, and employees, on demand, against any claim, action, damage, loss, liability, cost, charge, expense or payment which We may pay, suffer, incur or are liable for, in relation to any act You do or cause to be done, in breach of the Terms of Use or You violation of any law, rules or regulations or as result of any third party claims due to Your use of the Platform.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITIES

We shall not be held liable for any loss or damage or failure to comply with or delay in complying with Our obligations under these Terms of Use which is caused directly or indirectly by any event or circumstances beyond Our reasonable control including due to system failure, network issues, technical snags or loss of data due to any the preceding reasons, act of God, floods, epidemics, quarantine, riot of war.

AVAILAVILITY OF PLATFORM OR SERVICES

The Platform and Services are provided on an "as is" and "as available" basis without any representation or warranty, express or implied. We do not warrant that:

The Platform will be constantly available or available at all. We shall have no liability to You for any interruption or delay in access to the Platform or Services availed through it, irrespective of the cause;

The information on the Platform or given through Services is complete, true, accurate or non-misleading; That the Platform is secure or free of viruses, Trojans or other malware; or The contents of the Platform do not infringe any intellectual property rights. We reserve the right to modify the Platform, Our technology and the services.

NON-SOLICITATION

Nothing in the Terms of Use or on the Platform shall be considered as solicitation to invest by buying dairy raw material, dairy products, cattle, or a recommendation of the same or service, to You or any person in any jurisdiction where such solicitation, offer, recommendation, purchase or sale would be unlawful under the laws of that jurisdiction.

INFORMATION AND PRIVACY POLICY

We reserve the right to store and retain any and all Information provided by You including the Services used, Information, dairy information and customer information to comply with applicable laws.

THIRD PARTY LINKS

All third party advertisements, hyperlinks or other redirection tools on the latform which take You to content operated by third parties are not controlled by Us and do not form part of the Platform, We are not liable for any loss or harm that occurs to You as a result of such sites.

Refund Policy

We provide a free trial for all customers who are registered with us. You are entitled to pay the subscription fees (Annually / monthly) when the trial period is over. You can cancel our services at any time and the upcoming payment for the next cycle won’t be charged.

After successful payment, the mobile application will be available for all your users, customer can uninstall the app if they won’t continue to subscribe. Refund is issued only in legitimate cases of technical failures or other serious issues. The final decision will be from the company after assessing the settlements.

Cancellation Policy

Customer satisfaction is our main priority. If we fail to provide services from our end, but the customer has paid for the service then customer will be liable to mention the same to us. If the customer changes its mind for the services taken, we will not be liable to cancel the service. In case customers asks us to hold the processing of the service, we shall hold the fees paid to the department in the case.

Before processing any refund, we reserve the right to make best effort to complete the service. In case, you are not satisfied with the service, a cancellation fee of upto 20% + earned fee + fee paid to government or any third party would be applicable for the remaining period of service agreement

SEVERABILITY AND WAIVER

If any provisions of these Terms of Use are found to invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any term of these Terms of Use shall be permitted.

GOVERNING LAW AND JURISDICTION

These Terms of Use shall be governed by and interpreted and construed in accordance with the laws of India as applicable between resident Indians. Any disputes pertaining to the Platform shall be subject to the exclusive jurisdiction of the appropriate courts in Kanpur, India.

DISPUTE RESOLUTION

All disputes arising from or in connection with this Agreement shall be settled amicable between the Parties failing which it shall be referred to and finally settled by arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996 as amended from time to time, presided over by a sole arbitrator appointed mutually by the Parties failing which it shall be appointed by the High Court of Allahabad. Judgment upon the arbitral award may be entered in any court having jurisdiction over the Parties or their assets. The arbitration proceedings shall be held at Kanpur. The arbitration proceedings shall be conducted in the English language.

Not with standing the foregoing, a Party may seek appropriate interim or provisional reliefs including any injunctive reliefs in any court having jurisdiction over the subject matter thereof to enforce and/or prevent breach of its rights and remedies in arising out of this Agreement.
